Terms and Conditions

1. Acceptance of Terms
By accessing or using Educare, the ERP software developed by CISoft Technologies (hereinafter referred to as "the Software"), you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not use the Software.

2. License
CISoft Technologies grants you a non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes, subject to these Terms and Conditions.

3. Restrictions
You shall not:

• Modify, adapt, translate, or create derivative works based upon the Software.
• Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software.
• Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Software to any third party.
• Use the Software for any illegal or unauthorized purpose.

4. Intellectual Property
The Software and all intellectual property rights therein are and shall remain the exclusive property of CISoft Technologies. Nothing in these Terms and Conditions shall transfer any ownership rights to you.

5. Data Privacy
CISoft Technologies shall implement reasonable measures to protect the privacy and security of the data processed by the Software. However, CISoft Technologies shall not be liable for any unauthorized access to or disclosure of data resulting from your actions or omissions.

6. Support and Maintenance
CISoft Technologies shall provide reasonable technical support and maintenance services for the Software during the term of the license.

7. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. CISoft Technologies DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability
IN NO EVENT SHALL CISoft Technologies BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, EVEN IF CISoft Technologies HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination
CISoft Technologies may terminate your license to use the Software immediately upon notice for any breach of these Terms and Conditions. Upon termination, you must cease all use of the Software and destroy all copies thereof.

10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any dispute arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of [Insert Jurisdiction].

11. Entire Agreement

By using Educare, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any provision of these Terms and Conditions, do not use the Software.
